Summary: a scale deal built on rollovers and debt

Banijay Group, an entertainment company listed on Euronext Amsterdam, bought a majority stake in Tipico Group from the private equity firm CVC and combined it with its Betclic business to form Banijay Gaming. The company announced a binding agreement on October 28, 2025 and said on April 23, 2026 that the acquisition was complete. The parties agreed enterprise values of €4.8 billion for Betclic and €4.6 billion for Tipico, according to Banijay’s press releases.

The rationale is scale and diversification. Banijay Gaming’s pro forma 2024 revenue was €3.0 billion, about double the Betclic business alone, and gaming’s share of group revenue rises from 30% to 47% on the company’s figures. The deal was funded by a financing package of about €3 billion, including the refinancing of Tipico’s debt, while the founders of both businesses rolled their shares into the new entity.

This article explains the structure, the valuation arithmetic and what the disclosed numbers do and do not show. Every figure comes from the companies’ own announcements, and pro forma results are unaudited presentations. It is an analysis of a business transaction, not investment advice.

Background: the companies and the structure

Banijay Group has three divisions. Per its releases, they are content production and distribution, live experiences, and sports betting and gaming, the last through Banijay Gaming, which already included Betclic. Betclic generated about €1.4 billion of revenue and €375 million of adjusted EBITDA in 2024, excluding Bet-at-home, per the October 2025 release. Tipico is described there as Germany’s leading omnichannel sports betting and online gaming operator, with €1.3 billion of 2024 revenue; it bought Admiral Austria in September 2025, which delivered €346 million of 2024 revenue.

The deal was a combination more than a simple purchase. Banijay bought the major stake of CVC in Tipico for cash, while Tipico’s founders rolled over 100% of their shares and CVC rolled over its remaining stake into Banijay Gaming. Betclic’s shareholders also became shareholders of the combined entity. On a fully diluted basis, Banijay would own about 64.9% and the others about 35.1%.

Banijay aims to reach at least 72% through call options agreed on shares held by CVC and Tipico’s managers. A call option is a right to buy shares later at agreed terms, so the stake can rise without a new negotiation. In the release, the CEO, François Riahi, described Banijay as a “natural consolidator in the field of Entertainment”. The completion release said Banijay owned 65% at closing.

The numbers: valuation, financing and pro forma results

Disclosed and calculated deal figures. Sources: Banijay Group press releases of October 28, 2025 and April 23, 2026. € millions unless stated; calculated figures are marked.

Item Betclic Group Tipico Group (incl. Admiral Austria) Combined
Agreed enterprise value €4,800 €4,600 €9,400 (calculated)
2024 revenue about €1,400 €1,300 plus €346 (Admiral Austria) €3,022 (pro forma)
2024 adjusted EBITDA €375 about €479 (calculated) €854 (pro forma)
Enterprise value ÷ 2024 adjusted EBITDA about 12.8x (calculated) about 9.6x (calculated) about 11.0x (calculated)
EV ÷ adjusted EBITDA = enterprise value ÷ adjusted EBITDA = €4,600M ÷ €479M ≈ 9.6x (Tipico); €4,800M ÷ €375M ≈ 12.8x (Betclic)

where: enterprise value is the value of the business before subtracting debt, as agreed by the parties; the Tipico EBITDA of €479M is the pro forma €854M minus Betclic’s €375M, and is an estimate rather than a company figure.

The company did not publish a multiple for the deal, so these ratios are analysis. Different bases limit the comparison: Betclic’s figure excludes Bet-at-home, and the pro forma total includes a full year of Admiral Austria.

The financing was arranged as one package. Banijay said the transaction would be backed by a package of about €3 billion, underwritten by some of Betclic’s main financing partners, including the refinancing of Tipico’s existing debt. It expected group leverage of 3.5x after the deal, falling below 2.5x within three years, and about 0.5x of deleveraging a year excluding the exercise of call options.

At completion, Banijay said Banijay Gaming’s pro forma 2025 figures would have been €3.1 billion of revenue, €0.9 billion of adjusted EBITDA and €0.7 billion of adjusted free cash flow. Adjusted measures are the company’s own and are not audited.

What the deal changes for Banijay

The group becomes more gaming-heavy. The company said gaming moves from 30% of 2024 revenue as reported to 47% pro forma (€3,022 million of €6,370 million), and from 42% of adjusted EBITDA to 62% (€854 million of €1,382 million). Banijay Entertainment and Live had €528 million of adjusted EBITDA on €3,348 million of revenue, a margin of about 15.8%, against about 28.3% for gaming (€854 million on €3,022 million).

Gaming adjusted EBITDA margin = €854M ÷ €3,022M × 100 ≈ 28.3%; Entertainment and Live = €528M ÷ €3,348M × 100 ≈ 15.8%

where: figures are 2024 pro forma, as presented by Banijay.

That mix explains the margin effect the company reports: group adjusted EBITDA margin rises from 18.7% on a reported basis to 21.6% pro forma for 2024. The synergy target is modest relative to the combined profit: about €100 million is 11.7% of the €854 million of pro forma gaming EBITDA, and the company described it as arising after the FIFA World Cup 2026 in the mid-term, including about €70 million of operational and €30 million of capital expenditure efficiencies.

As an illustration, not a company figure, the combined €9,400 million of agreed enterprise value is about 11.0x 2024 EBITDA, or about 9.9x if the full €100 million of synergies is added to EBITDA. The October release said the two businesses keep their own governance, brands and proprietary platforms, so integration is expected to be gradual.

Comparison: how other recent deals were structured

Recent deals show different structures. A majority stake lets the buyer control a business without owning all of it, as in Banijay’s case, while a full acquisition by scheme of arrangement buys every share. Disclosed terms from official announcements are summarized below; multiples are only comparable when their bases match.

Selected gambling deals and their disclosed terms. Sources: company announcements cited in Sources.

Deal Structure Disclosed value Multiple disclosed
Banijay Group and Tipico Group (signed Oct. 2025, completed Apr. 2026) Majority stake plus combination; founders roll over Enterprise value €4.6bn (Tipico) None; about 9.6x calculated here
Allwyn and PrizePicks (completed Jan. 16, 2026) 62.3% majority stake $1,533M closing consideration, excluding earnouts None stated
Tabcorp and BetMakers (announced Aug. 2026, subject to approvals) 100% by scheme of arrangement; up to 25% in Tabcorp shares Enterprise value about A$267M 6.1x pro forma EBITDA including run-rate cost synergies

The Allwyn release states a closing consideration for a stake and says PrizePicks had no outstanding loans at closing, while Banijay quoted enterprise values that include debt. Equity value and enterprise value are different measures, so the $1,533 million and the €4.6 billion should not be compared directly.

Risks, limits and misreadings

The headline number depends on the definition. Reports describe the deal at different sizes. Banijay’s own figures are an enterprise value of €4.6 billion for Tipico and a financing package of about €3 billion that includes refinancing Tipico’s debt; the release does not state the amount paid to CVC for its stake.

Pro forma figures are not results. They assume the businesses were combined for the full period and are unaudited. Banijay noted that the release’s pro forma data does not represent what the group would have actually reported. Synergies are expectations, and the company said it would implement them in phases, starting with stabilization before IT and platform convergence.

Regulation is a stated risk area. The deal was subject to merger control and gambling regulatory approvals, and the October release said Betclic and its shareholders benefit from specific indemnities for identified risks, including the impact of changes to gaming and betting regulations in Germany and Austria. Leverage of 3.5x is a stated expectation, not an outcome, and the call-option route to 72% depends on future decisions.

Adjusted EBITDA is the company’s measure, and its exact definition is not set out in the releases reviewed. Pro forma means the results as if the combination had applied for the whole period. EV ÷ EBITDA is a valuation ratio; here it is explained as a concept and calculated from disclosed figures, never as a judgment of the deal.
